Welcome to Lightning Reviews LLC (“Lightning Reviews,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, software, and review management services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

Please read these Terms carefully, as they contain important information regarding your rights, obligations, and limitations of liability.

2. About Us

2.1. Lightning Reviews LLC (“Lightning Reviews,” “we,” “us,” or “our”) is a limited liability company organized under the laws of the State of Georgia.

2.3. Lightning Reviews owns all rights, title, and interest in and to the Platform, branding, and Services.

3. Acceptance of Terms & License

3.1. These Terms govern your access to and use of the Lightning Reviews website, software, and services (collectively, the “Platform” and “Services”).

3.2. By accessing or using the Platform, you agree to be legally bound by these Terms.

3.3. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services solely for your internal business purposes.

3.4. You must be at least 18 years old and legally able to enter into a binding agreement.

3.5. You are responsible for all activity conducted under your account and for maintaining the confidentiality of your login credentials.

4. No Guarantee of Reviews or Results (CRITICAL)

Lightning Reviews does not guarantee:

  • That reviews will be left by customers

  • The quantity, quality, rating, sentiment, or visibility of reviews

  • That reviews will be published, displayed, or retained on third-party platforms

  • Any increase in revenue, leads, rankings, reputation, or business performance

All reviews are voluntarily submitted by end users and are subject to moderation, filtering, removal, or delay by third-party platforms. These outcomes are outside Lightning Reviews’ control and do not constitute a service failure.

5. Third-Party Platforms & No Affiliation

Lightning Reviews is not affiliated with, endorsed by, sponsored by, or partnered with Google, Meta, Yelp, or any other review or listing platform.

We do not control third-party algorithms, moderation policies, suspensions, account actions, or review visibility. Any changes by third-party platforms do not create liability for Lightning Reviews.

6. Free Trials & Promotions

6.1. We may offer free or promotional access to Services at our discretion.

6.2. Free access ends upon the earliest of:

  • Trial expiration

  • Conversion to a paid plan

  • Termination by Lightning Reviews

6.3. All trial use is subject to these Terms.

7. Fees, Billing & No Refunds

7.1. Certain Services require payment of subscription or usage-based fees (“Fees”).

7.2. Fees must be paid in full and on time. Failure to pay may result in suspension or termination.

7.3. Fees are non-refundable, including for unused time, suspension, or termination.

7.4. We may change pricing with advance notice for recurring subscriptions. Continued use constitutes acceptance.

7.5. You are responsible for all applicable taxes.

7.6. Payments are processed by third-party providers. Lightning Reviews is not responsible for payment processor failures or errors.

8. Customer Compliance Responsibility (TCPA / CAN-SPAM / GDPR / CCPA)

You acknowledge and agree that you are solely responsible for compliance with all applicable laws and regulations related to:

  • Email communications (CAN-SPAM)

  • SMS and phone communications (TCPA)

  • Data protection and privacy (GDPR, CCPA, and similar laws)

  • Customer consent and opt-in requirements

Lightning Reviews does not provide legal advice, compliance audits, or guarantees of legal compliance. Use of the Services is at your own risk.

9. User Content & Data

9.1. You retain ownership of all content and data you submit.

9.2. You grant Lightning Reviews a royalty-free, non-exclusive license to use your content solely to operate, maintain, and improve the Services.

9.3. You represent that you have all necessary rights and permissions to upload and use such content.

9.4. We may anonymize and aggregate data for analytics and service improvement.

9.5. Lightning Reviews is not responsible for the accuracy, legality, or completeness of user content.

10. Data Loss & Backups

Lightning Reviews is not responsible for data loss, corruption, deletion, or export failures. You are responsible for maintaining independent backups of all data.

11. Acceptable Use

You may not:

  • Violate any law or regulation

  • Engage in deceptive or fraudulent activity

  • Upload malicious code or harmful content

  • Reverse engineer, scrape, or disrupt the Platform

  • Harass, threaten, or abuse others

We maintain a zero-tolerance policy for abuse.

12. Intellectual Property

12.1. All intellectual property rights in the Platform belong exclusively to Lightning Reviews or its licensors.

12.2. No ownership rights are transferred to you.

12.3. Unauthorized copying, modification, or distribution is prohibited.

13. Warranties Disclaimer

THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE FULLEST EXTENT PERMITTED BY LAW, LIGHTNING REVIEWS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Service Availability & Force Majeure

Lightning Reviews is not liable for delays, outages, or failures caused by events beyond our reasonable control, including hosting failures, internet outages, third-party service disruptions, natural disasters, labor disputes, or governmental actions.

15. Limitation of Liability (MAXIMUM PROTECTION)

TO THE FULLEST EXTENT PERMITTED BY LAW, LIGHTNING REVIEWS’ TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO LIGHTNING REVIEWS IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL LIGHTNING REVIEWS BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST REVIEWS, LOSS OF BUSINESS, OR REPUTATIONAL HARM.

16. Indemnification

You agree to indemnify, defend, and hold harmless Lightning Reviews LLC, its officers, employees, and affiliates from all claims, damages, losses, liabilities, and expenses (including attorneys’ fees) arising from:

  • Your use of the Services

  • Your violation of these Terms

  • Your violation of any law or third-party rights

17. Termination

Lightning Reviews may suspend or terminate your account at any time, with or without cause, and without liability. Upon termination, all rights to use the Services immediately cease.

18. Class Action Waiver & Jury Trial Waiver

You agree that any dispute shall be resolved on an individual basis only and not as part of a class, collective, or representative action.

YOU WAIVE ANY RIGHT TO A JURY TRIAL.

19. Governing Law & Venue

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Any legal action shall be brought exclusively in the state or federal courts located in Cobb County, Georgia.

20. Miscellaneous

20.1. These Terms constitute the entire agreement between you and Lightning Reviews.

20.2. If any provision is found unenforceable, the remaining provisions remain in effect.

20.3. No waiver is effective unless in writing.

20.4. We may update these Terms at any time. Continued use constitutes acceptance.
